VerticalAds Buys Defacto’s Core Tech After Insolvency, Keeps About Two-Thirds of Staff

Sudden revenue shortfalls triggered the insolvency that culminated in a tech-focused partial sale.

Overview

  • VerticalAds Group completed an asset deal effective November 3 to acquire Defacto’s technology-related operations, excluding ServiceNow.
  • Roughly 100 of about 150 employees transfer to the buyer, while approximately 50 positions are not retained at the company.
  • No offers were submitted for Customer Service (around 30 roles) or Business Consulting (around 20 roles) despite extended talks.
  • Core systems for clients continue under the new owner, including Oracle and Microsoft integrations and Defacto’s SaaS loyalty engine.
  • VerticalAds, based in Nuremberg, reports more than 200 employees and €156 million in 2024 revenue and plans to fold the acquired tech into lifecycle marketing services.
