UPS–Estafeta Deal Called Off Over Final Closing Terms

Talks ended without agreement on closing conditions following Mexico’s antitrust approval.

Overview

  • Estafeta said the planned sale to UPS was terminated and confirmed it will continue operating independently with service continuity.
  • UPS told the U.S. Securities and Exchange Commission on August 17 that the transaction had been canceled.
  • The acquisition was announced in mid-2024, framed as an evolution of a 2020 collaboration, and had been expected to close in the first half of 2025.
  • Cofece cleared the deal in May 2025, while recent U.S. policy removing the de minimis exemption and cross-border mail disruptions complicated parcel flows.
  • Industry estimates suggested the combination would have controlled about 42% of Mexico’s parcel market.
