SoftBank to Acquire ABB Robotics in $5.4 Billion Deal

The sale replaces ABB’s planned spin-off to fit SoftBank’s Physical AI strategy, pending regulatory reviews toward a 2026 close.

Overview

  • The signed agreement values ABB’s industrial robotics division at about $5.4 billion and remains subject to approvals in major jurisdictions, with closing expected in mid-to-late 2026.
  • ABB projects roughly $5.3 billion in cash proceeds, an estimated $2.4 billion non-operational pre-tax book gain, about $200 million in separation costs, and $400–$500 million in related tax outflows.
  • ABB will classify the business as discontinued operations from the fourth quarter of 2025 and will fold its Machine Automation unit into Process Automation as part of a reporting realignment.
  • SoftBank says the acquisition advances its push into “Physical AI,” with plans to integrate ABB Robotics into its Robo HD portfolio alongside holdings such as AutoStore and Agile Robots.
  • ABB Robotics employs around 7,000 people and generated $2.3 billion in 2024 revenue, a business that has faced softer demand—particularly in Asia—within a largely flat global installations market.
