The deal is expected to conclude by the end of the week, pending final legal details.
Marshall is also among the potential buyers for the Telegraph Media Group, currently in the second round of bidding.
The UK government forced the sale due to new legislation blocking foreign ownership of UK newspaper assets.
RedBird IMI, the current owner, acquired The Spectator and Telegraph titles from the Barclay family last year.
