Sembcorp to Buy Alinta Energy for A$6.5 Billion in Deal Including Loy Yang B

The Singapore-listed buyer casts the purchase as a foothold to expand renewables in Australia despite a short-term emissions rise from Loy Yang B.

Overview

  • Sembcorp agreed to acquire 100% of Alinta Energy and Latrobe Valley Power from CTFE’s Pioneer Sail Holdings at an enterprise value of A$6.5 billion.
  • The estimated A$5.6 billion cash consideration will be financed via bridge and working capital facilities.
  • Alinta’s portfolio includes about 3.5 gigawatts of generation across five gas plants and a wind farm, plus the Loy Yang B coal station, serving roughly 1.1 million customers.
  • Completion is targeted for the first half of 2026, pending shareholder and regulatory approvals.
  • Sembcorp expects immediate earnings accretion but says higher emissions from the acquired assets mean it will miss its 2028 intensity and 2030 absolute targets, with intensity around 0.36 tCO2e/MWh and 2025 emissions about 18.1 million tonnes.
