Sembcorp to Buy Alinta Energy and Loy Yang B Owner in A$6.5 Billion Deal

The purchase brings Sembcorp an Australian foothold with immediate earnings accretion alongside higher near-term emissions.

Overview

  • Sembcorp will acquire 100% of Alinta Energy and Latrobe Valley Power at an agreed enterprise value of A$6.5 billion with an estimated cash purchase price of A$5.6 billion.
  • The transaction is structured via share purchases, with Sembcorp Australia buying Pioneer Sail Holdings and Sembcorp Energy Australia buying Latrobe Valley Power (Holdings).
  • Completion is targeted for the first half of 2026 subject to shareholder and regulatory approvals.
  • Alinta serves about 1.1 million customers and owns roughly 3.5 GW of generation across five gas plants and a wind farm, with joint-venture interests in Yandin Wind Farm and the Spinifex Offshore Wind project.
  • Latrobe Valley Power owns the coal-fired Loy Yang B station, and Sembcorp says the deal lifts emissions to about 0.36 tCO2e/MWh and 18.1 MtCO2e in 2025, meaning it will miss its 2028 intensity and 2030 absolute targets.
