Qualcomm to Acquire Modular for Nearly $4 Billion

Qualcomm says the purchase will pair its chip expertise with Modular’s hardware-agnostic AI software to accelerate the company’s push into data-center and edge AI.

Overview

  • The companies announced the deal Wednesday as an all-stock transaction valued at about $3.9–4.0 billion, with Qualcomm expected to issue up to 19.2 million shares to Modular equity holders.
  • Qualcomm stated the acquisition will combine its silicon with Modular’s AI-native software stack so developers can write models once and run them across CPUs, GPUs, NPUs and custom ASICs without rewriting code.
  • Reporting says Modular’s roughly 150-person team, including cofounders Chris Lattner and Tim Davis, will join Qualcomm and that the package reportedly includes about $300 million earmarked for employees.
  • Qualcomm positions the move as a way to improve performance-per-watt for inference, broaden its developer-friendly software ecosystem, and compete with incumbent platforms such as Nvidia’s CUDA as it expands beyond smartphones.
  • The transaction is expected to close in the second half of 2026 subject to customary closing conditions and regulatory approvals, and observers say integration, customer relationships and regulatory review are near-term risks to watch.
