Proofpoint to Buy Varonis for $6.3 Billion

The all-cash deal is meant to combine email- and human-focused defenses with data and AI protections to face faster AI-driven attacks and new insider risks.

Overview

  • The companies announced Thursday that Proofpoint agreed to buy Varonis for about $6.3 billion in cash, with Varonis shareholders to receive $49.75 per share and the Varonis board unanimously approving the transaction.
  • Thoma Bravo, Proofpoint’s private equity owner, has committed equity and helped secure debt financing for the purchase, and Ontario Teachers’ Pension Plan is also investing in the transaction.
  • Proofpoint says the merger will link its email and people-centric signals with Varonis’ data-mapping and AI-security tools to detect and stop AI-accelerated external attacks and misuse by internal AI agents.
  • Both firms will stay independent until the deal closes in the first half of 2027 pending shareholder and regulatory approvals, after which Varonis will become privately held and stop trading on Nasdaq under VRNS.
  • The move follows recent acquisitions by both companies and reflects a wider 2026 trend of consolidation in cybersecurity as vendors and sponsors build integrated platforms to simplify operations for customers and defend against emerging AI risks.
