Overview
- OpenPayd said in early October that the SEC review of its Titan Acquisition Corp. SPAC merger is in its final stages and the company expects the transaction to close by year-end if no major disruption occurs.
- The merger would let OpenPayd list on Nasdaq under the ticker OP and could provide cash from Titan’s trust plus the ability to use public shares to finance acquisitions and partnerships.
- The business-combination remains conditional on SEC effectiveness, a vote by Titan shareholders, Nasdaq approval and minimum aggregate proceeds with a contractual deadline of December 31, 2026.
- OpenPayd completed integration of MSB USA and its 43 state money-transmitter licenses in September and is targeting a customer launch in the U.S. by April 2027 while continuing to consider additional license or technology purchases.
- The company reported roughly $73 million in fiscal 2026 revenue and about $13 million in EBITDA, and it has been expanding stablecoin and fiat links through partnerships with Circle and Fireblocks and clients such as Kraken, B2C2 and OKX.
