Overview
- The NCLT Principal Bench in New Delhi approved the amalgamation under Sections 230–232 of the Companies Act.
- The appointed date for the merger has been set as April 1, 2025.
- The Income Tax Department and the Official Liquidator filed no further objections, and RBI, SEBI, BSE and NSE did not submit objections.
- The scheme will take effect upon filing the certified order with the Registrar of Companies, after which Suzuki Motor Gujarat will be dissolved without winding up and will surrender its GSTN and PAN.
- All employees on Suzuki Motor Gujarat’s rolls immediately before the effective date will move to Maruti Suzuki India, with the companies citing operational efficiencies and a simpler group structure.
