Overview
- Metaplanet announced Tuesday that it will contribute 2,100 BTC (about $132 million) and $2.5 million in cash to Nasdaq-listed Super League Enterprise in exchange for common shares, preferred stock and warrants that would leave it owning roughly 95.7% of the company.
- Under the deal Super League will be renamed Superplanet, Inc. and keep its advertising and media unit while becoming Metaplanet’s U.S.-listed bitcoin treasury vehicle trading under the ticker SUPA.
- The company said the initial bitcoin will act as an asset base for future financings, including plans to issue perpetual preferred stock and use bitcoin as collateral for those offerings.
- Metaplanet has an option to invest up to an additional $210 million in junior preferred stock and agreed to five-year lock-ups on its securities, but the transaction must clear shareholder votes and regulatory approvals to close in Q4 2026.
- The move builds on Metaplanet’s larger group position — its Tokyo-listed parent holds about 43,000 BTC and ranks among the top corporate bitcoin holders — and is designed to let the group raise capital in both Japan and the U.S. while keeping bitcoin consolidated on the balance sheet.
