J&F Agrees to Acquire Control of Avibras

The acquisition requires approval by Brazil’s competition authority before control can change hands.

Overview

  • J&F’s Globe Investimentos notified the Conselho Administrativo de Defesa Econômica (Cade) of a deal to buy 100% of Nova AVB, the holding that controls Avibras, with the transaction first communicated to employees on Friday.
  • The buyer and seller have not disclosed a purchase price, and public reports give differing figures for Avibras’s outstanding liabilities, roughly between R$600 million and R$800 million.
  • Avibras has been in judicial reorganization since 2022; its industrial and IP assets were moved into Nova AVB and the Avibras Aeroco plant in Jacareí resumed production in May 2026 after a R$300 million private fundraising and settlement of long‑running labor claims.
  • The firm is designated an Empresa Estratégica de Defesa and makes key systems such as the Astros rocket artillery and the MTC‑300 cruise missile, and it holds contracts of interest to the Brazilian Armed Forces.
  • The deal would expand J&F’s portfolio into defense but still faces regulatory review and unresolved questions about legacy liabilities, contract continuity and the exact financial terms that will determine effects for workers, creditors and suppliers.
