Jack in the Box Closes $119 Million Sale of Del Taco to Yadav Enterprises

The divestiture advances Jack in the Box’s shift to an asset-light model.

Overview

  • The deal closed on December 23, transferring Del Taco to Yadav Enterprises’ franchise portfolio.
  • Jack in the Box received about $109 million in cash plus a $10 million 21-day promissory note at 8% interest fully guaranteed by Anil Yadav.
  • The final purchase price may change based on customary post-closing working-capital and other adjustments.
  • Del Taco will retain its Lake Forest, California headquarters and operates roughly 550–600 restaurants across 17 states.
  • The sale follows Jack in the Box’s 2022 acquisition of Del Taco for about $585 million, with BofA Securities and Sullivan & Cromwell advising the seller and Baker Tilly supporting the buyer.
