Overview
- Hyperliquid Strategies filed an amendment on Sept. 1 that raises its Chardan equity purchase facility from $1 billion to a $2.5 billion maximum capacity.
- The $2.5 billion is a ceiling, not cash on hand, and creates optional financing that only converts to cash when the company issues and completes PURR share sales to Chardan.
- The agreement adds a 42,641,847-share cap on sales conducted below a $12.02 reference price after the first $1 billion is raised, which limits low-price issuances without shareholder approval.
- PURR closed at $11.36 on Sept. 1, placing the stock below the $12.02 threshold and meaning the expanded capacity may be harder to deploy efficiently unless the company sells shares at higher prices or wins shareholder approval.
- Hyperliquid already holds about 29.3 million HYPE from prior equity-financed buys, so the facility could fund further token purchases but any direct impact on HYPE’s price depends on completed PURR sales, management decisions, market liquidity and possible dilution for existing shareholders.
