Grupo Romero Signs Agreement to Acquire Niagara Generation, Parent of Orygen

Closing requires Indecopi authorization before any ownership transfer occurs.

Overview

  • Orygen Peru informed the market regulator that Inversiones Piuranas, a Romero company, agreed to buy 100% of Niagara Generation from Niagara Holdings.
  • The acquisition will be executed through a Romero affiliate managed by InfraCorp under Peru’s merger-control framework established by Law 31112.
  • The SMV filing states the transaction has not closed, no shares have been transferred, and any completion will be announced publicly.
  • Financial terms were not disclosed, and sources told RPP that if approved the change would be in ownership only, with Orygen’s plans, contracts and staff continuing unchanged.
  • Actis previously consolidated Enel’s Peruvian generation assets into Orygen’s 13-plant, 2,200+ MW portfolio, and COES data show Orygen supplies about 14% of the national power matrix in 2025.
