Greenko Founders to Buy Orix’s 17.5% Stake for $1.28 Billion

Orix is reinvesting $731 million through a convertible note aligned with its capital recycling strategy.

Overview

  • Anil Chalamalasetty and Mahesh Kolli’s AM Green BV will acquire Orix’s 17.5% holding in Greenko, lifting their stake to about 25%.
  • Orix will invest $731 million via a convertible note issued by AM Green (Luxembourg) Sarl to secure long-term exposure to green hydrogen, ammonia and sustainable aviation fuel.
  • The deal was reentered on June 30 after an April termination and now awaits regulatory approvals expected by the end of July.
  • AM Green’s Kakinada complex is planned as the world’s largest integrated green energy zone with green ammonia production, a 2 GW electrolyzer gigafactory and SAF facilities.
  • Under its capital recycling strategy, Orix anticipates recording a ¥93.4 billion gain in its Q2 FY2025–26 financial results from the transaction.
