CNMV Slaps Grifols With €1.4 Million in Fines for Misleading Financial Reports

The pharmaceutical group’s executives lodged appeals in the Audiencia Nacional after being sanctioned for supplying inaccurate financial data and misleading APM disclosures.

  • The CNMV imposed an €800,000 penalty on Grifols for providing regulated financial statements with inaccurate or untruthful data in its 2021–2023 annual reports and first-half 2023 filing.
  • Grifols’ directors were fined €230,000 for their involvement in the inaccurate reporting of those same periods.
  • Additional sanctions of €200,000 on the company and €126,000 on the executives were issued for misleading disclosures on Alternative Performance Measures.
  • The Boletín Oficial del Estado published the resolution on July 24, concluding a year-long CNMV inquiry prompted by activist fund Gotham’s allegations of market manipulation and false accounting.
  • Grifols executives have filed appeals in the Audiencia Nacional to contest the very serious infringements and seek to overturn the sanctions.
