Overview
- Under the subscription agreement, Atari will issue 333,333,334 new ordinary shares at SEK 0.15 per share to secure control of approximately 82% of Thunderful Group
- The transaction has unanimous backing from Thunderful’s board and its two largest shareholders, Owe Bergsten and Brjann Sigurgeirsson, who together hold 29.9% of voting rights
- Financing will draw on Atari’s own resources or a potential loan from IRATA LLC, the holding company of Atari CEO Wade Rosen
- Thunderful Group has launched a restructuring plan featuring additional workforce reductions, cost-base optimization and a planned CEO transition by December 31, 2025
- If approved, the acquisition will integrate five European development studios and a portfolio of more than 20 IPs—including SteamWorld and Lost in Random—into Atari’s European growth strategy
