Abra Group Ends Azul Merger Talks, Pulls GOL–Azul Codeshare

Abra cited months of stalled talks during Azul’s Chapter 11 process.

Overview

  • In a notice dated September 26, Abra formally told Azul it was terminating discussions under the April 12, 2024 confidentiality agreement.
  • Talks had been pursued under a non-binding MoU signed January 15 with pre-filing to CADE, which GOL now says reflected conditions that no longer apply.
  • GOL requested the end of the commercial cooperation with Azul and will honor tickets already issued under the partnership to limit customer disruption.
  • The codeshare, launched in May 2024, had recently been frozen by CADE pending review, according to market filings reported by ch-aviation.
  • Abra said it still sees merit in a future combination and remains ready to engage with stakeholders, though the deal that would have surpassed LATAM in scale will not proceed now.
